    Main transaction thesis
Market position We have developed three new product groups in concrete floor leveling that have no direct analogues:
    1. Compact machines with automatic laser-guided height control for sites that are not covered by large laser screed manufacturers. To our knowledge, the main products have no direct functional analogue on the global market.
    2. Autonomy-ready power trowels, one model of which is a two-disc power trowel for processing spatial floor surfaces, operation of which does not require physical effort from the operator and which is easily transportable without the assistance of a crane or an additional machine. Lightweight, free of noise pollution and battery-powered. To our knowledge, the only two-disc power trowel that can be transported by human power.
    3. A concrete floor topping spreader powered by power-tool batteries, which provides a 3 times faster and more efficient work result compared with conventional solutions.
Market testing completed For the first product group, pricing as well as user and market testing through real sales have been completed. During the one-year market testing period (September 2025 – October 2026), test sales were carried out to Europe, Asia, the Middle East and Australia starting from September 2025, and to the USA and Canada starting from May 2026. Users’ attitudes toward the developed devices were tested, development shortcomings were improved, and different strategies were used to test the suitability of the pricing.
During this period, customer orders worth approximately €298,400 at sales prices were fulfilled (80 machines), more than 10,000 price inquiries, more than 1,200 substantive sales correspondences and several dozen distributor applications from around the world were documented — with a minimal online advertising budget, without a sales team, distributor network, trade-fair or other public presentations, or telephone sales. Sales, communication and web development were handled by one person. The sales platform was configured in a way that allowed us to analyze customer interest in different products, and interest in power trowels was also widely confirmed.
Demand, pricing and the global delivery model have been confirmed. The average markup on cost price is 200–300%, which corresponds to approximately 67–75% gross margin before sales and general expenses.
Transferable platform Products, technologies, software, production, inventory if required, intellectual property, web platforms and social media accounts, supplier relationships and customer and distributor applications.
Location independence Lightweight and documented production model: the business can be continued at the current location in the European Union, moved to any country or duplicated into a new region. The sales platforms have global reach.
Ownership The ownership right to all assets being sold belongs 100% to the seller and third parties have neither direct nor indirect rights to the assets being sold. The company has no financial obligations, encumbrances or ongoing disputes.
    1. Object of sale

Offered for sale is the business line of the Estonian-registered company OÜ Puiga Soojus, which operates under the Concrete Wolf brand and develops and manufactures compact automated equipment for leveling and finishing concrete floors. The object of sale is a developed and market-tested product and technology package, not a company to be valued on its financial results. The transaction transfers the entire business line: developed products and prototypes, technologies and software with source code, production documentation and equipment, current inventory if desired, supplier relationships, brands and other intellectual property, domains, web platforms and social media accounts, customer and distributor databases and all related know-how. The business activity can be continued at the current location with the current employees, moved to another country or duplicated into a new region.

The preferred structure is a 100% sale of the business line without the company. At the buyer’s request, the sale can also take place together with the company (assets not related to the business line being transferred out of it), or through a new company established in connection with the sale, with a structure, management board and articles of association corresponding to the acquirer’s wishes. Alternatively, the seller may consider the sale of a majority stake or the partial transfer of the product group by individual developed devices. For example, it is possible to submit an offer solely for acquiring the development of the power-tool-battery-powered devices, such as the Topping Spreader and the Vibration Laser Screed, together with the laser receiver technology. In such a case, the transfer of rights to the laser receiver is not exclusive: the right to use the technology and the right of further transfer also remain with the seller.

    2. Market position

The weight of existing laser-guided leveling equipment starts at approx. 500 kg and goes up to several tonnes, and they cannot be used on most sites. The more compact equipment offered on the market does not use automatic laser-guided height control. The company’s equipment weighs 14–135 kilograms, fits through a standard door and works, among other things, on floors with reinforcement mesh and underfloor heating pipes — this means that they can be used on sites that make up the majority of the world’s construction sites and where the work is still carried out manually today.

To the seller’s knowledge, there is no direct functional analogue on the world market for the main products. Creating small and lightweight automated equipment proved during development to be a greater engineering challenge than building large machines, which is what the sector’s major manufacturers deal with; this circumstance is also the basis for the segment’s previous non-existence and the company’s first-mover position. The product group also covers both smaller and large concrete pouring surfaces, allowing both market segments to be served.

The main reasons for customer interest are the affordable price of the equipment, which is in balance with its real use value, and the compactness and wide range of use of the equipment on different sites — which was also the greatest challenge in developing the equipment. Compared with the world market, the equipment is inexpensive and affordable for most interested parties and in proportion to the efficiency resulting from its use.

    3. Company overview

Over six years, operating at Tartu Science Park, the company has developed a product family whose purpose is to automate concrete work on construction sites where the work is still predominantly carried out manually today: private houses, apartment buildings, basements, garages, hotels, hospitals, schools and other multi-storey buildings. The product development period lasted until the summer of 2025 with no product sales. The product group has passed user testing and market testing under real sales conditions (September 2025 – October 2026).

The seller is a development organization, not a sales company. The market test began by introducing the developments — that such equipment exists at all; it became apparent that the construction sector was not aware of such equipment and did not know how to search for it on the internet. Various sales platform solutions were tested and refined, and the equipment was sold through direct online sales, handled by one person. Demonstration capacity was limited, which restricted sales, especially of the more expensive machines.

    4. Products

The product family includes seven products. Five products have passed development, user testing and market testing and are in active production with core development complete:

    • Vibration Laser Screed 1300 and 1800 (lightweight laser screeds with automatic height control). The first and most-produced model, continuously improved during the production period based on user feedback; switched from LiFePO4 batteries to widely used power-tool batteries, with battery adapters for different battery systems and software developed so that different power-tool batteries can be used on the machine. This way of working substantially reduces physical strain; working with a battery-powered electric machine causes no noise pollution or noise fatigue and, having no exhaust gases, is not harmful to health.
    • Fast Concrete Leveling Machine (self-propelled universal leveling equipment). Drive wheels, also suitable for leveling sand; BLDC motors instead of the hydraulic systems used by competitors, giving a compact and light construction; passes through openings as narrow as 60 cm; the 1.2 or 1.5 m work unit is quickly removable (four plugs, three quick couplings) and the machine is transported as two parts — developed primarily so that the machine can be packaged for more affordable air transport. The current version runs on 12 V 38 Ah AGM batteries; the model is easy to adapt to work with power-tool batteries.
    • Precise Concrete Leveling Machine 1500 (precision leveling equipment with screw conveyor, with integrated vibrating screed) and Precise Concrete Leveling Machine 2000 with a two-metre working width. Electronic control; integrated inertial sensors (three linear axes, three rotation axes) hold the height during temporary laser signal interruptions and compensate for the update lag of rotary laser measurements (a 600 rpm laser gives only 10 measurements per second; based on the six inertial sensors, the height data is updated 100 times per second); two operating modes developed from user feedback (inertial-sensor-based with automatically regulated vibration intensity, or manually controlled vibration intensity).

The power trowels and the concrete topping spreader have been developed and are ready for market launch:

    • Electric Power Trowel 2×60 — a two-disc power trowel for processing spatial floor surfaces, operation of which does not require physical effort from the operator and which is easily transportable without the assistance of a crane or an additional machine; lightweight, free of noise pollution and battery-powered (approx. 2–3 h of continuous operating time). This way of working substantially reduces physical strain; working with a battery-powered electric machine causes no noise pollution or noise fatigue and, having no exhaust gases, is not harmful to health. The non-autonomous version is in production and sales start within weeks; the pre-production model has passed all testing and validation phases, and the first units have been pre-ordered. The construction, software and controller are designed ready for the integration of autonomous control: a single machine is produced and autonomy is added at a surcharge according to the customer’s wish. For the autonomous version, the technical logic has been worked out and the hardware and the base software components for mapping and obstacle avoidance have been selected; machine-specific programming has not yet been started, but all the prerequisites are in place.
    • Lightweight and Powerful Power Trowel 2×120 — construction and calculations complete, the pre-production prototype model has been designed; it is more practical to bring to market only together with autonomous functionality.
    • Topping Spreader — a light electric machine powered by power-tool batteries that allows the operator to ride along and provides a 3 times faster and more efficient work result compared with conventional solutions: at least 3 times faster operation compared with conventional manual application; the ride-along design enables faster and more intensive material distribution compared with machines that require the operator to walk alongside or push them manually. This way of working substantially reduces physical strain; working with a battery-powered electric machine causes no noise pollution or noise fatigue and, having no exhaust gases, is not harmful to health. Movement and hardener dosing are controlled electronically, without wearing mechanical levers and valves. The pre-production model is complete, all testing and validation phases have been passed, and production and sales start in the coming weeks.

The remaining investment concerns the programming of the autonomous control for the Power Trowel 2×60 and the start of production of the Power Trowel 2×120 and the Topping Spreader (purchase of components into stock).

Common development principles of all machines: low weight, high operability and convenient use; electric drives, electronic control systems and sensor solutions; simple and affordable transportability and usability on sites with limited access. The aim has not been merely to electrify existing machines but to improve the whole work process, with possibilities for further automation and autonomous control.

CE declarations of conformity have been issued for the products that have passed market testing. The equipment works with standard rotary lasers, commonly used batteries and, for some models, commonly used power tool batteries.

The target set in development and market testing is a selling price of three times the production cost.

    List prices (€, excl. VAT): Vibration Laser Screed 1300 — 3,300; Vibration Laser Screed 1800 — 3,650; Fast Concrete Leveling Machine — 8,300; Precise Concrete Leveling Machine 1500 — 15,600; Precise Concrete Leveling Machine 2000 — 15,600; Electric Power Trowel 2×60 — 14,000; Topping Spreader — 4,000.

During test sales we applied different pricing strategies and discounts; the standard e-shop discount is 10%.

    5. Technology and intellectual property

The company’s core technological assets have been developed entirely in-house. These include, among other things:

    • a laser receiver that transmits laser position data on every rotation of the laser and is significantly faster than standard construction laser receivers (to the seller’s knowledge, the only one on the world market with this response speed), which can also be treated as a standalone product with independent application potential in other manufacturers’ equipment requiring 2D positioning;
    • a control system that maintains the set height in the event of temporary interruption of the laser signal (~5 s / ~1–2 m) and allows work to start even when one of the receivers cannot see the laser;
    • motor drivers integrated onto printed circuit boards and the company’s own BLDC motor control logic with encoder use and calibration implemented in production, allowing motor replacement without replacing the controller;
    • control algorithms.

The Concrete Wolf trademark is internationally registered. Two utility model applications have been filed with the Estonian Patent Office in 2026, covering two main machine architectures and establishing priority dates; within twelve months of filing, it is possible to extend and prolong protection with international priority (PCT), and after that there are 30 months from the filing date of the Estonian utility model to file national patent applications. A third application concerning the laser receiver system has been prepared and is ready for filing; it has intentionally not been filed because registration results in the disclosure of technical solutions, and the timing and geography of filing will be decided by the acquirer. Software and know-how are protected by copyright and as trade secrets. Application numbers and documents will be disclosed under an NDA.

    6. Market testing results

For the first product group, pricing as well as user and market testing through real sales have been completed. Market testing through real sales began in September 2025, with sales to Europe, Asia, the Middle East and Australia, followed by the USA and Canada from May 2026. Different strategies were also used to test the suitability of the pricing.

Sales based on invoices, excluding VAT (USD invoices converted to euros at 1 USD ≈ €0.86):

    • 2025 (20 Sept – 31 Dec): €114,190 — 28 machines
    • 2026 (1 Jan – 13 Oct): €184,229 — 52 machines
    • Total: €298,419 — 80 machines

In the last months of 2025, alongside sales work, the focus was mainly on developing the sales platform and e-shop and testing different sales solutions. Improvement of the sales platform and market testing have continued to the present day. In January–February 2026 the Vibration Laser Screed was updated, including the switch from LiFePO4 batteries to power-tool batteries and a change of the model range.

80 machines sold (September 2025 – October 2026). All invoices are paid; there are no outstanding receivables.

Two machines are paid pre-orders that will be fulfilled before the sale of the business. 78 machines, which have been paid for, have been delivered. There are no further outstanding orders or pre-orders. All sales were made against prepayment, with a dispatch time of 2–4 weeks.

Demonstration capacity was limited, which restricted sales, especially of the more expensive machines. The sales platform was configured during testing in a way that allowed us to analyze customer interest in different products; interest in power trowels was widely confirmed.

Sales by region (based on invoices):

    • Europe — approx. €229,200
    • North America — approx. €19,800 (USD 23,017)
    • India — approx. €18,000
    • Middle East — approx. €17,500
    • Australia — approx. €13,900
    • Total — approx. €298,400

As sales were made from a warehouse in Europe, most purchases came from this region; the other regions showed the global perspective, especially the United States. Direct communication with customers and several channels have shown that sales to US customers should be organized from the USA (the equipment can be assembled elsewhere); for this purpose a separate US online store (concretewolf.us) has been set up and the business name Concrete Wolf LLC has been reserved. If the acquirer wishes to continue under its own brand, that is a free choice. Several other specific marketing strategies arising from the product have been identified during market testing.

A price inquiry has been counted as every contact from an interested party who at least entered their e-mail address on our website in order to see our price list, which is not visible by default. During the test period, the company’s web platforms concretewolf.eu and concretewolf.us were visited by approximately 200,000 users in total, generating more than 10,000 price inquiries (all e-mail addresses are archived), more than 1,200 substantive sales correspondences and several dozen serious distributor applications from around the world (archived); this is verifiable and demonstrates very active interest in the machines we have developed. In a certain period, approx. 80 inquiries a day were received. There have been 60 paid orders from 56 customers, 80 machines in total.

The average markup on product cost was 200–300%, corresponding to an approximately 67–75% gross margin before sales and general expenses; gross profit during the test marketing was approx. €200,000. The full-scale market launch has deliberately been left to the acquirer, so the profit figures of the past periods do not describe the business potential of the products.

Cooperation has been started with a dealer operating in the United Kingdom and Irish markets. With the activation of the dealer, a strategy was worked out in which the website shows a visitor arriving from the dealer’s region only general information about the equipment, and on pricing and sales matters the platform automatically and seamlessly redirects to the dealer’s website or online store. The first repeat orders have been received, e.g. four consecutive orders from the UK reseller (11 machines in total), additional machines being ordered by a large company and two orders from a customer in India (6 machines in total).

The stated results were achieved with a minimal budget through online advertising, without a sales organization, trade-fair or other public presentations and telephone sales — the purpose of testing was to confirm demand, pricing and the global delivery model before full-scale market launch. The databases and correspondence are documented and will be transferred with the transaction.

    7. Production and organization

To date, i.e. at this small sales volume, two people have been directly involved in this business line: an assembler and a web designer/marketer.

The equipment is assembled in Tartu from components bought in as subcontracted work. The production model is intentionally lightweight: printed circuit boards are designed by the seller and manufactured to order by an established partner in China, where the more specific components are also kept in stock; components are sourced from documented suppliers; a custom-ordered motor is produced to an exclusive production specification; final assembly does not require heavy or complex equipment before large-scale production. Such equipment may be owned to optimize the cost price, but the machines are designed so that all parts are easy to buy in as subcontracted work and are available in every region of the world. All controller-related information and contracts, including drawings and component lists, as well as the production specification of the custom-made exclusive motor, are handed over to the acquirer; PCB manufacturing can be reorganized if desired.

For export, a DHL Express business account is used together with developed packaging and logistics solutions, enabling deliveries to more than 240 countries. The machines and packaging are designed for global, responsive service primarily for air transport, but have also been made suitable for delivery by road and sea transport; other transport services can also be used.

Assembly training lasts a few weeks, the process can be documented for transfer and can also be taught via the internet; production can therefore be continued at the current location, relocated or duplicated, with a minimal production investment at a new location (up to approx. €20,000). The value of the production and assembly equipment is approximately €20,000; this is also the approximate acquisition cost of new equipment at a new location, to which the costs of 100–200 m² of production space are added. Key employees are ready to support the handover and the transfer of knowledge and work processes during an agreed transition period, and the seller offers remote support for as long as is agreed before the sale. The exact duration and form of support are negotiable. The seller is also ready to cooperate in the further development of the machines.

Inventory of approx. €150,000 at sales prices is optionally included. An inventory of approx. €100,000–150,000 is optimal and allows sales of up to approx. €200,000 per month to be served. If sales increase, the inventory requirement does not increase proportionally, but only minimally. If finished-goods sales warehouses are used in other regions, it is reasonable to hold approx. €30,000–50,000 at sales prices in each warehouse.

The company has no financial obligations, encumbrances or ongoing disputes. The resale agreement with the United Kingdom and Ireland dealer contains no time-bound obligations; the acquirer may continue the cooperation or not. Several parties from every region of the world have expressed interest in cooperation; the acquirer may activate them through negotiations if desired.

Concrete Wolf — Business sale offer
    8. Development directions

The seller is essentially a development organization; the full-scale market launch and the building of the sales and distribution network have deliberately been left for the acquirer to carry out. In management’s assessment, the main unrealized directions are cooperation with construction equipment rental companies, activation of received reseller applications, the United States (organizing US sales from the USA), the Indian and Arab markets, OEM cooperation with equipment manufacturers and marketing the laser receiver as an independent component. The acquirer can use its existing marketing network, activate the parties that have applied to become resellers, or work with rental companies. There are several tens of thousands of construction equipment rental companies worldwide; this is a large customer potential.

    9. Transaction process

Interested parties are requested to contact margus@concretewolf.eu. If necessary, a confidentiality agreement and a sales memorandum will be prepared with potential interested parties, after which intellectual property documents together with technical documentation will be provided as required. The seller is open to parallel negotiations and different transaction structures, including the acquisition of individual developed devices. As to price, the seller invites the interested party’s own assessment, considering the developed equipment and its sales potential. Distribution or dealer partnerships without an acquisition are not the object of this offer. Additional information about the products and the company is available on the website concretewolf.eu.

Appendix 1. List of assets to be transferred with the transaction
